Terms of Service

The terms that govern access to and use of Remindash and its services.

These Terms of Service (“Terms”) govern your access to and use of Remindash, including our websites, applications, software, APIs, managed services, and related services.

Please read these Terms carefully before using Remindash.

By creating an account, accessing Remindash, or using our services, you agree to these Terms on behalf of yourself or the organisation you represent.

If you are using Remindash on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. About Remindash

Remindash provides software and related services designed to help organisations manage policies, obligations, compliance activities, renewals, deadlines, reminders, notifications, documents, and related workflows.

Remindash may also provide artificial-intelligence-assisted functionality, integrations, policy information, templates, and managed services.

2. Eligibility and Accounts

You must have legal capacity to enter into these Terms.

When creating an account, you agree to provide accurate information and keep that information reasonably current.

You are responsible for:

  • Protecting your login credentials
  • Activities performed through your account
  • Maintaining appropriate workspace permissions
  • Ensuring authorised users comply with these Terms
  • Promptly notifying us if you suspect unauthorised access

You must not share credentials in a manner that circumvents account or subscription restrictions.

3. Organisations and Workspaces

An organisation may create or maintain a Remindash workspace and invite authorised users.

The organisation is responsible for determining:

  • Who may access its workspace
  • Roles and permissions
  • Information uploaded to Remindash
  • Obligations assigned to users
  • Notification recipients
  • Internal compliance processes
  • Whether Remindash outputs are appropriate for its circumstances

Workspace administrators may have access to information and activities associated with users in that workspace.

If your access is provided by an organisation, that organisation may manage, restrict, suspend, or terminate your workspace access.

4. The Remindash Service

Depending on your plan and configuration, Remindash may provide features including:

  • Reminder management
  • Obligation tracking
  • Policy management
  • Policy libraries
  • Document uploads
  • AI-assisted document extraction
  • Notification sequences
  • Recipient management
  • Audit history
  • Reporting
  • Integrations
  • Team collaboration
  • Managed compliance reminder services

Features may change as the service develops.

We may add, modify, replace, or discontinue features where reasonably necessary, subject to applicable contractual commitments.

5. Compliance and Legal Disclaimer

Remindash helps you manage compliance. It does not determine whether your organisation is legally compliant.

Your organisation remains responsible for determining which requirements apply and for making final legal and compliance decisions.

Remindash is a technology platform designed to assist organisations with compliance-related organisation, tracking, documentation, and reminders.

Remindash is not a law firm, regulatory authority, auditor, or substitute for qualified legal, regulatory, tax, financial, or compliance professionals.

Information provided through Remindash, including policies, obligation templates, reminders, summaries, artificial-intelligence-generated content, and Policy Library materials, is provided for informational and workflow-support purposes.

Use of Remindash does not guarantee compliance with any law, regulation, policy, contract, licence, certification, or regulatory requirement.

Laws, regulations, regulatory guidance, contractual obligations, and industry requirements may change.

You remain responsible for:

  • Identifying requirements applicable to your organisation
  • Determining whether information is current and applicable
  • Setting appropriate deadlines
  • Reviewing obligations
  • Taking required compliance actions
  • Obtaining professional advice where appropriate
  • Making final compliance and legal decisions

A reminder being created, completed, or marked as satisfied in Remindash does not itself establish legal or regulatory compliance.

6. Policy Library

Remindash may provide a Policy Library containing information concerning legislation, regulations, regulatory guidance, industry requirements, policies, standards, or related obligations.

Policy Library content may be compiled from public sources, third-party sources, automated processing, artificial intelligence, or editorial review.

Although we may take reasonable steps to improve the quality of this information, we do not guarantee that Policy Library content is:

  • Complete
  • Error-free
  • Current at all times
  • Applicable to your organisation
  • An authoritative interpretation of law or regulation

Where possible, Remindash may provide references or links to original sources.

Users should consult authoritative sources and appropriate professional advisers when determining their legal or regulatory responsibilities.

7. AI-Assisted Features

AI-generated outputs may contain errors. Review AI-assisted results before relying on them for compliance decisions.

Remindash may use artificial intelligence to assist with activities such as:

  • Extracting information from documents
  • Identifying possible obligations
  • Summarising policies
  • Categorising requirements
  • Suggesting reminders
  • Generating or organising compliance-related information

Artificial intelligence can make mistakes.

AI-generated outputs may contain inaccurate, incomplete, outdated, or misleading information.

You agree to exercise appropriate human review before relying on AI-generated content, particularly where decisions could have legal, financial, regulatory, employment, safety, or other significant consequences.

You remain responsible for decisions made using AI-assisted outputs.

8. Managed Services

Managed services support the administration of your obligations. They do not make Remindash your legal adviser or transfer your regulatory responsibilities to Remindash.

Some Remindash plans may include optional managed services.

Depending on the agreed scope, our team may assist with activities such as:

  • Setting up obligations
  • Configuring reminders
  • Maintaining reminder schedules
  • Organising compliance records
  • Monitoring tracked deadlines
  • Updating selected workspace information
  • Supporting compliance administration

The exact scope of managed services will be defined in your applicable order, subscription, proposal, statement of work, or service description.

Managed services are administrative and operational support unless expressly agreed otherwise in writing.

Managed services do not constitute legal advice and do not transfer your organisation’s legal or regulatory responsibilities to Remindash.

Your organisation remains responsible for approving material compliance decisions and providing accurate and timely information required for us to perform the agreed services.

9. Customer Content

“Customer Content” means information, documents, files, data, text, and other materials submitted to Remindash by or on behalf of a customer.

You retain ownership of your Customer Content.

You grant Remindash a limited right to host, copy, transmit, process, display, and otherwise use Customer Content as reasonably necessary to provide, secure, maintain, and improve the services, subject to our contractual and privacy obligations.

You represent that you have the rights and permissions necessary to provide Customer Content to Remindash and permit its processing as contemplated by these Terms.

10. Acceptable Use

You must not use Remindash to:

  • Violate applicable law
  • Infringe intellectual property or privacy rights
  • Upload malicious software or harmful code
  • Attempt unauthorised access to systems or accounts
  • Interfere with the security or operation of the service
  • Circumvent usage, subscription, or security restrictions
  • Conduct fraudulent or deceptive activity
  • Use the service to unlawfully monitor individuals
  • Upload information that you do not have authority to process
  • Reverse engineer the service except where applicable law expressly permits it
  • Use automated methods to excessively access or disrupt the service

We may investigate suspected misuse and take appropriate action where necessary.

11. Subscriptions and Billing

Certain Remindash functionality requires a paid subscription.

Subscription fees, billing intervals, usage allowances, and included functionality will be displayed when you subscribe or specified in an applicable agreement.

Unless otherwise stated, subscriptions may automatically renew for the applicable billing period until cancelled.

You authorise Remindash and its payment providers to charge applicable fees and taxes using your selected payment method.

Pricing may vary by:

  • Plan
  • Usage
  • Billing interval
  • Country or region
  • Currency
  • Managed-service requirements
  • Agreed commercial terms

Where permitted, we may change pricing for future billing periods after providing appropriate notice.

12. Free Plans and Trials

Remindash may offer free plans, trials, promotional credits, or limited functionality.

We may modify or discontinue free plans or promotional offerings subject to reasonable notice where appropriate.

Free plans may have limitations relating to functionality, users, usage, storage, AI credits, audit-history retention, notifications, or other resources.

Trial access may expire automatically at the end of the stated trial period.

13. Cancellation

You may cancel a paid subscription through the available account controls or by contacting us where self-service cancellation is unavailable.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.

Access to paid functionality may continue until that period ends.

You remain responsible for charges incurred before cancellation becomes effective.

14. Refunds

Except where required by law or expressly stated otherwise, payments are generally non-refundable once a billing period has begun.

If you believe you were charged incorrectly, contact our support team and we will review the matter.

Separate commercial terms may apply to managed services, enterprise arrangements, implementation services, or other individually negotiated engagements.

15. Data Protection

Our processing of personal information is described in our Privacy Policy.

Where Remindash processes personal data on behalf of an organisation, additional data-processing terms may apply.

Customers are responsible for ensuring that their collection and use of personal data through Remindash complies with applicable law.

16. Third-Party Services and Integrations

Remindash may integrate with or link to third-party services.

Your use of third-party services may be subject to separate terms and privacy policies between you and those providers.

We are not responsible for third-party services that we do not control.

Changes, outages, or restrictions imposed by third-party providers may affect related Remindash functionality.

Google Calendar

If an owner or administrator connects Google Calendar, you authorise Remindash to create, update and delete the calendar events it manages in the Google calendar you choose, as described in our Privacy Policy.

  • You are responsible for choosing a destination calendar whose sharing suits the deadlines sent to it. Anyone who can see that calendar can see those events.
  • Remindash is the source of truth. Synchronisation runs from Remindash to Google Calendar, and changes you make in Google Calendar to events that Remindash manages may be overwritten or restored the next time Remindash synchronises.
  • Synchronisation depends on Google being available and on your Google account continuing to authorise Remindash. If access is revoked or a calendar is no longer available, synchronisation stops until you reconnect or choose another calendar.
  • When you disconnect, you choose whether Remindash also removes the events it created. If Google prevents removal, some events may remain in your calendar, and you can delete them in Google Calendar.

Google Calendar is a trademark of Google LLC. Remindash is not affiliated with, or endorsed by, Google.

17. Intellectual Property

Remindash and its associated software, branding, interface designs, documentation, technology, and original content are owned by Remindash or its licensors and are protected by applicable intellectual-property laws.

Except for the rights expressly granted under these Terms, no rights in Remindash intellectual property are transferred to you.

You may not copy, reproduce, distribute, sell, sublicense, or create derivative works from protected elements of the service except as permitted by law or expressly authorised by us.

18. Feedback

If you provide suggestions, ideas, or feedback concerning Remindash, you permit us to use that feedback to develop and improve our products and services without restriction or compensation to you.

This does not give us ownership of your Customer Content.

19. Service Availability

We aim to operate Remindash reliably, but we do not guarantee uninterrupted or error-free availability.

The service may occasionally be unavailable due to:

  • Maintenance
  • Software updates
  • Infrastructure failures
  • Third-party outages
  • Security incidents
  • Events outside our reasonable control

Where commercially appropriate, specific availability commitments may be provided under a separate service-level agreement.

20. Suspension

We may suspend or restrict access to Remindash where reasonably necessary to:

  • Address a security risk
  • Prevent misuse
  • Respond to suspected unlawful activity
  • Protect Remindash or other users
  • Address overdue payments
  • Comply with legal requirements
  • Enforce these Terms

Where appropriate, we will attempt to provide notice and an opportunity to resolve the issue.

21. Termination

You may stop using Remindash at any time.

We may terminate an account or agreement where permitted by these Terms or an applicable commercial agreement, including for material breach.

Following termination, access to Customer Content may be limited or removed according to applicable retention practices and contractual commitments.

Customers should export information they are required to retain before account access ends.

22. Disclaimers

To the maximum extent permitted by applicable law, Remindash is provided on an “as available” basis.

We do not warrant that:

  • The service will always be uninterrupted
  • Every reminder will always be delivered
  • Every obligation will be identified
  • Policy Library information will always be complete or current
  • AI-generated information will always be accurate
  • Use of Remindash will ensure regulatory or legal compliance

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Remindash and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the service.

Where liability cannot legally be excluded, any limitation will apply only to the extent permitted by applicable law.

Any specific contractual liability cap applicable to paid customers may be established in the relevant subscription agreement, order form, or other commercial agreement.

24. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Remindash harmless from third-party claims arising from your unlawful use of the service, Customer Content provided without appropriate authority, or material violation of these Terms.

Any indemnification obligations agreed separately with business customers will be governed by the applicable commercial agreement.

25. Changes to These Terms

We may update these Terms as our services, business, or legal requirements change.

When material changes are made, we may provide notice through the service, email, or another appropriate method.

The updated Terms will indicate their effective date.

Continued use of Remindash after updated Terms become effective constitutes acceptance where permitted by applicable law.

26. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless another jurisdiction is required by applicable law or agreed under a separate written contract.

Any dispute-resolution provisions and jurisdiction should be interpreted subject to mandatory rights available under applicable law.

27. General Terms

If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our consent where consent is legally required.

We may assign these Terms in connection with a corporate restructuring, merger, acquisition, financing, or sale of our business, subject to applicable law.

These Terms, together with referenced policies and applicable commercial agreements, constitute the agreement governing your use of Remindash.
